On which stock exchanges is Pallinghurst Resources Limited (“PRL”) listed?

PRL is listed on two exchanges, its primary listing is on the Johannesburg Stock Exchange (“JSE”), (JSE:PGL) and its secondary listing is on the Bermuda Stock Exchange (“BSX”), (PALLRES.BH).

How do I trade PRL shares?

How do I know which stock exchange my PRL shares are listed on?

All shares issued by PRL to shareholders of Gemfields plc (“Gemfields”) as a result of the Gemfields acquisition were issued on the BSX register. If you are a former Gemfields shareholder, it is likely that your new PRL shares are listed on the BSX.

Can PRL recommend a broker?

PRL is registered in Guernsey and is regulated by the Guernsey Financial Services Commission and is therefore not authorised to provide financial advice. A list of stockbrokers who are registered with the JSE is available at:

I did not accept the PRL Offer for the acquisition of Gemfields, however my Gemfields shares have been acquired by PRL. Why did this happen?

PRL received acceptances to its Offer for the acquisition of Gemfields that exceeded 90% of the shares subject to the Offer, and therefore PRL exercised its right to compulsorily acquire all of the remaining Gemfields shares under Sections 979-982 of the Companies Act 2006.

As part of the Gemfields acquisition my Gemfields shares were compulsorily acquired, in return for 1.91 PRL shares. When will I receive my PRL shares?

Any consideration to which you may be entitled is being held in trust on your behalf by Gemfields and you have 12 years to claim your shares. To receive any consideration shares to which you may be entitled, you will need to contact the nominee that held your Gemfields shares on your behalf, and ask them to have the relevant party (often the CREST participant who acts as custodian to the shares) apply in writing to the below address:

You will also need to provide evidence of ownership of the Gemfields shares:

  1. If your shares are in physical certificated form – you will need to provide Computershare with the relevant share certificates (it is recommended that these be sent by courier or tracked mail) or, in the event that you no longer have such certificates in your possession, an acceptable form of indemnity for lost share certificates, which can be obtained from Computershare.
  2. If your shares are in electronic form – you need to request that the CREST participant contacts Computershare.

What do I need to do to transfer shares from the BSX share register to the JSE share register?

The process for transferring shareholdings from the BSX share register to the JSE share register depends on how you hold your PRL shares:

If your shares are held in electronic form (via CREST)

  1. You will need to contact your CREST Participant and request that they process a CREST stock withdrawal into the name and address of the South African entity that you wish the shares to be registered
  2. At the same time your CREST Participant will need to email or fax a copy of the completed Computershare Register Removal Form to the contact details shown on the form
  3. Upon receipt, Computershare will process the removal using the certificate number generated by the stock withdrawal and pass a copy of the form to their South African team
  4. Upon receipt in South Africa they will issue the shares into the requested name in the STRATE system

If you hold your shares in certificated form

  1. You will need to complete and return a Register Removal Form with your PRL share certificate
  2. Upon receipt, Computershare will process the removal using the certificate provided and pass a copy of the form to their South African team
  3. Upon receipt in South Africa they will issue the shares into the requested name in the STRATE system

STRATE is the authorised Central Securities Depository (CSD) for the electronic settlement of all financial instruments in South Africa
